Freight Terms of Service

These Freight Terms of Service apply to all shipments arranged by or on behalf of Midwest Metal Werks Co (“Seller”) unless otherwise agreed to in writing.

Freight Responsibility

All equipment, parts, and materials are shipped F.O.B. Seller’s facility, unless otherwise stated in writing. Title and risk of loss transfer to the Buyer once the shipment leaves Seller’s facility.

Freight Charges

Freight costs are the responsibility of the Buyer unless explicitly included in the sales agreement. Freight charges may be estimated and are subject to adjustment based on carrier rates, accessorial fees, and final shipment details.

Shipping Method & Carrier

Seller may arrange freight as a convenience to the Buyer using third-party carriers. Seller does not guarantee transit times and is not responsible for delays caused by carriers, weather, labor issues, or other factors beyond Seller’s control.

Delivery & Access

Buyer is responsible for ensuring the delivery location is accessible and capable of receiving the shipment. Additional charges resulting from limited access, liftgate requirements, inside delivery, redelivery, storage, or detention fees will be billed to the Buyer.

Inspection Upon Delivery

Buyer must inspect all shipments at the time of delivery. Any visible damage or shortages must be clearly noted on the carrier’s delivery receipt before signing. Failure to do so may void the ability to file a freight claim.

Freight Damage Claims

All freight damage claims must be submitted by the Buyer directly to the carrier. Seller will provide reasonable documentation assistance upon request but is not responsible for carrier damage once the shipment has left Seller’s facility.

Concealed Damage

Concealed damage must be reported to the carrier within the carrier’s required timeframe, typically within five (5) business days of delivery. Buyer is responsible for following carrier claim procedures.

Delays

Seller is not liable for delays in shipment or delivery caused by circumstances beyond Seller’s reasonable control, including but not limited to carrier delays, supply chain disruptions, weather events, or acts of God.

Storage & Refused Shipments

If delivery is refused or delayed due to Buyer-related issues, any additional storage, redelivery, or return freight charges will be the responsibility of the Buyer.

Acceptance

Receipt of goods constitutes acceptance of these Freight Terms of Service unless otherwise agreed to in writing prior to shipment.
